- B2B Vendor Marketplace Terms
1. Acceptance of Terms
By accessing, browsing, or using BizStackHub (the "Platform"), whether or not you create an account, you accept and agree to be bound by these Terms. These Terms apply to all users, including but not limited to browsers, vendors, customers, merchants, and contributors of content.
The Platform is provided by Steeled Inc., a Delaware Corporation ("Company," "we," "us," or "our"). The Platform is part of the Stack Network portfolio of AI-powered professional services platforms.
If you are accessing the Platform on behalf of a business, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.
2. Description of Service
2.1 Platform Overview
BizStackHub is an AI-powered software-as-a-service (SaaS) platform that provides AI-powered business tools, templates, and resources for small businesses and entrepreneurs to launch, manage, and grow their operations.
2.2 Service Components
- (a) Free Tier: Access to basic Platform features and limited outputs at no cost.
- (b) Paid Subscriptions: Monthly or annual subscription plans providing enhanced features, higher usage allowances, priority support, and additional tools.
- (c) Per-Output Purchases: Users may purchase individual Outputs, reports, or analysis products on a one-time basis.
- (d) Third-Party Integrations: The Platform may incorporate third-party tools, APIs, data sources, and services to enhance functionality.
2.3 Platform Availability
The Company aims to maintain continuous service but does not guarantee uninterrupted access.
3. Account Registration and Security
3.1 Account Creation
To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration, maintain the confidentiality of your credentials, notify us immediately of any unauthorized access, and accept responsibility for all activity occurring under your account. The Company reserves the right to refuse, suspend, or terminate accounts at its discretion.
3.2 Account Security
You are solely responsible for maintaining the security of your account credentials. The Company will not be liable for any loss or damage arising from your failure to protect your login information.
3.3 Account Termination
You may request deletion of your account at any time. The Company may terminate accounts for violations of these Terms, extended inactivity, or other reasons at its discretion.
4. Subscription Terms and Billing
Subscriptions automatically renew at the end of each billing cycle unless cancelled. The Company will provide at least 30 days' notice before material price changes. Per-output purchases are non-refundable once delivered. Cancellations take effect at the end of the current billing cycle, and no partial refunds are issued for unused time.
5. AI-Generated Content Disclaimer
Outputs are informational only. Content generated by the Platform is NOT legal, financial, medical, tax, construction, immigration, or any other type of professional advice.
You are solely responsible for verifying the accuracy of any AI-generated content and for consulting licensed professionals before making decisions based on any output. You assume all risk associated with the use of AI-generated content.
6. Accuracy Disclaimer
The Company makes no warranty of accuracy. AI-generated content may contain errors, outdated information, or biases. Verification is required before acting on any output. The Platform is provided "AS IS" without warranty of any kind, express or implied.
AI-Generated Content Accuracy
BizStackHub uses artificial intelligence to generate analysis, assessments, reports, and recommendations. While we implement reasonable measures to promote accuracy, AI-generated content may contain errors, omissions, or inaccuracies. Users are responsible for independently verifying all AI-generated information before relying on it for any decision. Steeled Inc. does not warrant the accuracy, completeness, or reliability of any AI-generated content.
7. Limitation of Liability
To the maximum extent permitted by applicable law, the Company's total liability to you for any claims arising from your use of the Platform shall be capped at the fees you paid in the prior 12 months, or $100, whichever is greater.
In no event shall the Company be liable for any consequential, indirect, special, punitive, or incidental damages, including but not limited to lost profits, lost data, business interruption, or reputational harm, even if advised of the possibility of such damages.
8. Intellectual Property
The Company retains all rights to the Platform, its technology, and underlying intellectual property. You retain ownership of your Input Data but grant the Company a perpetual, worldwide license to process and use that data for service operation and improvement. Outputs are licensed to you on a non-exclusive, non-transferable, revocable basis for personal or internal business use only.
9. User Conduct and Prohibited Uses
You agree not to use the Platform for any unlawful purpose, and you specifically agree not to:
- Scrape, crawl, or data-mine the Platform without authorization
- Reverse engineer or attempt to extract the Platform's source code
- Impersonate any person or entity
- Upload or distribute malware, viruses, or other harmful code
- Attempt unauthorized access to any part of the Platform
- Use outputs as unlicensed professional advice to third parties
10. Refund and Cancellation Policy
Subscriptions may be cancelled at any time and will remain active through the end of the current billing cycle. No partial refunds are issued for unused subscription time. Per-output purchases are non-refundable once delivered. Exceptions may be made for demonstrable billing errors reported within 30 days of the charge.
11. Data Privacy and Security
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Data is stored and processed in the United States. The Company employs commercially reasonable security measures. In the event of a data breach, we will provide notification as required by applicable law.
12. Third-Party Services and Integrations
The Platform may integrate with or link to third-party services. Such services are governed by their own terms and privacy policies. The Company is not responsible for the operations, content, or practices of any third-party service.
13. Dispute Resolution and Arbitration
Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by JAMS or AAA. Arbitration shall be conducted on an individual basis — no class actions or representative proceedings are permitted. You have 30 days from first acceptance of these Terms to opt out of this arbitration agreement by contacting us at the email below. Delaware substantive law applies; California procedural law governs the arbitration process.
14. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from your use of the Platform, your violation of these Terms, your Input Data, or your misuse of any Outputs.
15. Modification of Terms
The Company reserves the right to modify these Terms at any time. We will provide at least 30 days' notice for material changes. Your continued use of the Platform after the effective date of any modification constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions. You consent to exclusive jurisdiction in the courts of the applicable jurisdiction.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
18. Entire Agreement
These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Platform and supersede all prior agreements, representations, and understandings.

20. Acknowledgment and Agreement
By using BizStackHub, you acknowledge that you have read, understood, and agree to these Terms of Service. You understand that all outputs are informational only and not professional advice, and you assume all risk associated with their use.
21. B2B Vendor Marketplace Terms
BizStackHub operates a directory platform for B2B service vendors ("Marketplace"). The following terms apply to all users of the Marketplace, including business owners browsing vendor listings and vendors listed on the platform.
21.1 No Verification or Endorsement
BizStackHub does not verify vendor credentials, conduct background checks, endorse vendors, or guarantee vendor competence or performance. All vendor claims are self-reported. BizStackHub makes no representations or warranties regarding the accuracy of vendor listings, the quality of vendor services, or the suitability of any vendor for any particular purpose.
21.2 Vendor Indemnification
Vendors agree to indemnify, defend, and hold harmless BizStackHub and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including attorneys' fees) arising from or related to the vendor's services, the vendor's listing content, or any vendor-customer transaction.
21.3 Customer Assumption of Risk
Customers (business owners and other users who contact or engage vendors through the Marketplace) assume all risk in vendor selection. BizStackHub is not responsible for the outcome of any engagement between a customer and a vendor. Customers are solely responsible for conducting their own due diligence before engaging any vendor.
21.4 Platform Neutrality
BizStackHub has no financial interest in individual vendor-customer transactions. BizStackHub is not a party to any contract between a vendor and a customer. BizStackHub does not receive commissions, referral fees, or compensation from vendor-customer transactions unless separately disclosed.
21.5 Inquiry Forwarding
When a user submits an inquiry through a vendor profile, BizStackHub forwards the user's contact information and message to the vendor. By submitting an inquiry, users consent to this forwarding and to being contacted by the vendor. BizStackHub is not responsible for how vendors use or respond to inquiries.
21.6 Vendor Listing Agreement
Vendors who list on the Marketplace are also subject to the separate Vendor Listing Agreement at /marketplace/vendor-terms, which governs listing responsibilities, tier terms, and moderation policies.
